Nayax Completes $350 Million Acquisition of IPS Group
Nayax has completed its acquisition of smart parking technology provider IPS Group in a $350 million all-cash transaction, expanding the company’s activities into parking and curb management.
The deal brings IPS’s parking technology and installed base together with Nayax’s global payments infrastructure and EV charging capabilities. The companies plan to offer cities, universities, and private parking operators an integrated platform covering parking, payments, and EV charging.
Building a Broader Mobility Platform
IPS manages more than 250,000 parking spaces across the United States, Canada, the United Kingdom, and Ireland. Its technology portfolio includes single- and multi-space parking meters, mobile and text-based payment options, and parking management software.
Nayax, meanwhile, has an established commercial presence in more than 120 countries. By combining the two businesses, Nayax intends to support the international expansion of IPS while extending its own offering further into smart parking and curbside operations.
According to Nayax, the acquisition increases its addressable cashless payments opportunity by approximately $85 billion, bringing the estimated total to around $342 billion by 2029.

IPS Management to Remain in Place
IPS will continue to be led by Randall and its existing executive team from San Diego, California.
Nayax financed the acquisition using cash on hand alongside approximately $150 million in new debt provided by Poalim Tech, the technology banking arm of Bank Hapoalim, and First International Bank of Israel.
IPS is expected to generate more than $90 million in revenue during the 2026 financial year, with recurring revenue accounting for over 60% of the total. Nayax estimates IPS’s Adjusted EBITDA for the year at approximately $21 million.
For the period from October 1 through December 31, 2026, Nayax expects IPS to contribute approximately $20 million to $22 million in revenue and more than $5 million in Adjusted EBITDA.
The company also anticipates more than $8 million in run-rate synergies from the acquisition. Including these anticipated synergies, Nayax values the transaction at approximately 12 times IPS’s estimated 2026 Adjusted EBITDA, compared with approximately 17 times before synergies.
The acquisition was originally announced in August 2026 and has now been formally completed, establishing parking as a significant new vertical within Nayax’s wider payments and unattended commerce business.
